These Terms of Service (“Terms”) govern your access to and use of the services provided by Hutsy Financial Corp. (“Hutsy,” “we,” “us,” or “our”), including Hutsy's website, text-message-based financial assistant, connected financial account features, artificial intelligence features, subscription services, and related products and services (collectively, the “Services”).

Hutsy is primarily a text-message-based service. You do not need to download a mobile application to use Hutsy's core Services. Depending on the features you use, you may interact with Hutsy through SMS or other supported messaging channels, Hutsy's website, payment pages, account-connection interfaces, and third-party services.

By creating an account, providing your phone number, subscribing to Hutsy, connecting a financial account, authorizing payment, sending or responding to messages through the Services, or otherwise accessing or using Hutsy, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Hutsy.

By using Hutsy, you represent that the information you provide is accurate and that you are legally authorized to use any phone number, payment method, or financial account you provide or connect to the Services.

2. What Hutsy Is

Hutsy provides an AI-powered financial guidance, insights, and monitoring service primarily through text messaging.

Depending on the information and features available to you, Hutsy may:

• Analyze information from connected financial accounts;
• Analyze income, spending, balances, transactions, cash flow, and other financial information;
• Answer financial questions through text messaging;
• Generate personalized financial insights;
• Identify potential financial issues or opportunities;
• Help users create financial action plans;
• Provide reminders, alerts, summaries, and ongoing financial coaching;
• Provide educational information related to credit, budgeting, saving, debt, cash flow, and other financial topics; and
• Facilitate access to products or services offered by independent third parties, including lenders or other financial-service providers.

Hutsy may proactively contact you through text messaging when we identify information, insights, updates, or other features relevant to your use of the Services, subject to applicable law and your communication preferences.

3. Hutsy Is Not a Bank or Lender

Hutsy Financial Corp. is not a bank.

Unless expressly stated otherwise for a particular regulated service, Hutsy is also not:

• A lender;
• A broker-dealer;
• A credit repair organization;
• A fiduciary;
• A law firm;
• An accounting firm; or
• A tax advisor.

Hutsy may connect users with independent third-party providers that offer loans, cash advances, credit products, or other financial products.

Hutsy does not make lending decisions and does not guarantee that you will receive a loan, cash advance, credit product, particular interest rate, or any other financial offer.

Any application, underwriting decision, approval, denial, loan amount, interest rate, fee, repayment obligation, or other term associated with a third-party financial product is determined by the applicable third-party provider.

4. Financial Information and AI

Hutsy uses artificial intelligence and automated systems to provide portions of the Services. AI-generated responses may use information you provide directly as well as information made available through connected financial accounts and third-party providers.

You understand that artificial intelligence can make mistakes.

Hutsy's responses, calculations, insights, projections, recommendations, summaries, and other outputs may:

• Be inaccurate;
• Be incomplete;
• Be based on delayed information;
• Misinterpret financial transactions;
• Fail to account for information unavailable to Hutsy; or
• Not be appropriate for your individual circumstances.

You remain responsible for reviewing information before making financial decisions.

Hutsy does not guarantee any particular financial outcome from following information provided through the Services.

5. Connected Financial Accounts

Certain Hutsy features allow you to connect financial accounts through third-party financial-data providers, including providers such as Plaid.

By connecting an account, you authorize Hutsy and its service providers to access and process financial information made available through the connection for purposes described in these Terms and our Privacy Policy.

This information may include, depending on availability:

• Account balances;
• Transaction information;
• Income and deposit information;
• Spending information;
• Account identifiers;
• Account type;
• Cash-flow information; and
• Other financial information made available by the applicable provider.

Hutsy does not control the availability or accuracy of information supplied by third-party financial institutions or financial-data providers.

Bank connections may occasionally become unavailable or experience delays, outages, authentication problems, or other technical issues.

6. Text Messaging and Communications

Hutsy's Services are primarily provided through text messaging.

By providing your mobile telephone number and using Hutsy, you authorize Hutsy to send you text messages necessary to provide the Services, subject to applicable law.

These messages may include:

• Responses to messages you send Hutsy;
• Financial insights;
• Account information;
• Service notifications;
• Security messages;
• Subscription and billing information;
• Connected-account notifications;
• Financial coaching and follow-ups; and
• Other communications related to your use of Hutsy.

Where required by law, promotional or marketing communications will be subject to separate consent requirements.

Message and data rates imposed by your mobile carrier may apply.

Message frequency may vary depending on how you use Hutsy.

You may use applicable opt-out mechanisms made available to you. Opting out of messages necessary to operate Hutsy's text-based service may prevent Hutsy from continuing to provide some or all of the Services.

7. Subscription and $15 Fee

Hutsy offers a paid subscription.

The Hutsy subscription currently costs $15 [INSERT USD/CAD AND BILLING PERIOD].

The applicable subscription price, billing frequency, and material subscription terms will be disclosed during signup and/or before you authorize your subscription.

By completing the paid subscription signup process and providing or authorizing a payment method, you authorize Hutsy and its payment processors to charge the applicable subscription fee and any applicable taxes in accordance with the billing terms presented to you.

Subscriptions automatically renew at the applicable billing interval unless cancelled before the next renewal, subject to applicable law and any disclosures presented during signup.

Hutsy may change subscription pricing in the future. Where required, we will provide notice before new pricing applies to your subscription.

8. Failed Payments and Subsequent Collection

We recognize that customers using Hutsy may occasionally have insufficient funds or experience temporary payment failures.

If an authorized subscription payment cannot initially be processed, Hutsy may continue providing you access to the Services rather than immediately blocking your access solely because the payment failed.

Your payment obligation is not cancelled merely because the initial payment attempt was unsuccessful.

To the extent disclosed to you and permitted by applicable law and your payment authorization, you authorize Hutsy and its payment processors to subsequently attempt to collect an outstanding subscription payment using your authorized payment method.

As a result, the date a charge appears on your payment method may be later than the date on which your subscription began.

A later successful collection of an outstanding subscription payment does not necessarily represent a new or additional subscription fee. It may represent collection of a previously due subscription payment that could not successfully be processed when originally attempted.

Hutsy may also suspend or terminate access to paid Services for unpaid amounts.

9. Cancellation

You may cancel your Hutsy subscription using the cancellation method made available through the Services.

When your subscription is successfully cancelled:

• Future renewals will stop in accordance with the cancellation terms applicable to your subscription;
• Hutsy will not intentionally initiate new subscription renewals after the effective cancellation date; and
• Cancellation does not automatically reverse or refund charges that were already incurred or processed before cancellation.

Cancellation and refunds are separate matters.

Cancelling your subscription prevents future subscription renewals but does not, by itself, create a right to a refund for a previous payment.

10. Refund Policy

Except where otherwise required by applicable law, subscription payments that have already been processed are non-refundable.

When you subscribe to Hutsy, Hutsy begins making the Services and supporting infrastructure available to you. Providing those Services may cause Hutsy to incur third-party costs, including costs associated with financial-data connectivity, artificial intelligence, communications, payment processing, infrastructure, and other technology providers.

Therefore, cancelling after your subscription has begun does not ordinarily entitle you to reimbursement for a subscription payment that has already been processed.

Nothing in these Terms limits any refund, cancellation, or consumer right that cannot legally be waived under applicable law.

If you believe you were:

• Charged after a cancellation should have taken effect;
• Charged more than once incorrectly;
• Charged an incorrect amount; or
• Subject to another genuine billing error,

you may contact Hutsy Customer Experience so we can investigate the transaction.

11. Third-Party Financial Products

Hutsy may introduce, display, facilitate access to, or provide links to financial products offered by independent third parties.

Those providers operate independently from Hutsy.

Hutsy does not guarantee:

• Approval;
• Eligibility;
• Loan amounts;
• Interest rates;
• Fees;
• Repayment terms;
• Credit-score changes; or
• Availability of any particular financial product.

You should carefully review the applicable provider's terms before accepting any financial product.

12. No Guaranteed Results

Hutsy does not guarantee that using the Services will:

• Improve your credit score;
• Result in loan approval;
• Reduce your debt;
• Increase your savings;
• Prevent overdrafts;
• Prevent fees;
• Improve your financial condition; or
• Produce any specific financial outcome.

Hutsy provides tools, information, and automated assistance intended to help users better understand and manage their finances.

Your financial results depend on circumstances outside Hutsy's control.

13. User Responsibilities

You agree to use Hutsy lawfully and responsibly.

You may not:

• Provide false or misleading information;
• Connect a financial account you are not authorized to access;
• Use someone else's payment information without authorization;
• Attempt to manipulate or exploit Hutsy's systems;
• Attempt to obtain unauthorized access to Hutsy's systems or data;
• Reverse engineer or scrape the Services;
• Use automated systems to abuse the Services;
• Use Hutsy for fraudulent or illegal purposes; or
• Interfere with the security or operation of the Services.

14. Privacy and Data

Hutsy's collection, use, processing, retention, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

Because Hutsy provides personalized financial assistance, the Services may process sensitive financial information.

Hutsy may use third-party providers to operate the Services, including providers for:

• Financial-data connectivity;
• Artificial intelligence;
• Text messaging;
• Cloud infrastructure;
• Analytics;
• Customer support; and
• Payment processing.

The specific information processed will depend on the features you use.

15. Service Availability

Hutsy depends on telecommunications providers, banks, financial institutions, financial-data providers, artificial-intelligence providers, payment processors, hosting providers, and other third parties.

As a result, Hutsy cannot guarantee uninterrupted availability.

Features may temporarily stop working because of:

• Bank outages;
• Financial-data connection outages;
• SMS or carrier problems;
• Internet outages;
• Third-party provider failures;
• Maintenance;
• Security incidents; or
• Other circumstances beyond Hutsy's reasonable control.

16. Intellectual Property

Hutsy's software, artificial-intelligence systems, prompts, workflows, designs, branding, trademarks, content, technology, interfaces, and other intellectual property are owned by Hutsy or its licensors.

These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

They do not transfer ownership of Hutsy's intellectual property to you.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

HUTSY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY OTHER WARRANTIES THAT MAY LEGALLY BE DISCLAIMED.

HUTSY DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, COMPLETE, OR ACCURATE.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Hutsy will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services.

This includes, to the extent permitted by law, losses associated with:

• Financial decisions;
• Loan approvals or denials;
• Credit-score changes;
• Overdrafts;
• Missed payments;
• Interest;
• Fees;
• Inaccurate AI outputs;
• Incorrect or delayed financial data;
• Bank-connection failures;
• Service interruptions; or
• Third-party products or services.

To the extent liability cannot legally be excluded, Hutsy's aggregate liability relating to the Services will not exceed the amount you paid Hutsy during the 12 months immediately preceding the event giving rise to the claim, except where applicable law requires otherwise.

19. Suspension and Termination

Hutsy may restrict, suspend, or terminate access to the Services if we reasonably believe that you:

• Violated these Terms;
• Used Hutsy fraudulently or unlawfully;
• Created a security risk;
• Abused the Services;
• Failed to pay amounts legitimately owed; or
• Created material legal, regulatory, or operational risk.

You may stop using Hutsy and cancel your subscription at any time, subject to the payment and cancellation provisions above.

20. Changes to the Services

Hutsy is an evolving product.

We may add, remove, modify, suspend, or discontinue features, integrations, providers, pricing, functionality, or other aspects of the Services.

We may also update these Terms periodically. If required by applicable law, we will provide appropriate notice of material changes.

21. Electronic Agreements and Notices

You agree that electronic communications, disclosures, authorizations, agreements, and notices may satisfy legal requirements that such communications be provided in writing, to the extent permitted by applicable law.

Because Hutsy operates primarily through text messaging, certain notices and service communications may be delivered to the phone number associated with your Hutsy account. Other notices may be delivered through our website, email, or other electronic means.

22. Governing Law and Disputes

These Terms will be governed by Dover, Delaware, without regard to conflict-of-law principles.

Any dispute-resolution, arbitration, class-action waiver, venue, or related provisions applicable to Hutsy should be stated here and reviewed by qualified legal counsel for the jurisdictions in which Hutsy operates.

23. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent legally permitted, and the remaining provisions will remain in effect.

24. Entire Agreement

These Terms, together with Hutsy's Privacy Policy and any additional terms or disclosures presented to you when using a particular Hutsy product or feature, constitute the agreement between you and Hutsy regarding the Services.
