These Terms of Service (“Terms”) govern your access to and use of the Hutsy mobile application, website, and related services (collectively, the “Services”) provided by Hutsy Financial Corp. (“Hutsy,” “we,” “us,” or “our”).

By creating an account, connecting accounts, subscribing (if available), or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use Hutsy. By using the Services, you represent and warrant that you meet these requirements.

2. Nature of the Service

Hutsy is an AI-powered financial insights and monitoring platform.

Hutsy may:

• Analyze user-provided and connected financial data
• Generate alerts and informational insights
• Provide decision-support tools
• Facilitate access to third-party lending partners and offers

Hutsy is not:

• A bank
• A lender
• A broker-dealer
• A financial advisor
• A fiduciary

The Services and any outputs are provided for informational purposes only. You remain solely responsible for your financial decisions.

3. No Financial, Legal, or Tax Advice

Hutsy does not provide investment, legal, tax, credit repair, or financial planning advice. Any insights, calculations, projections, or estimates are based on available data and probabilistic modeling.

We do not guarantee:

• Credit score increases
• Loan approval
• Fee avoidance
• Financial outcomes

You should consult licensed professionals before making financial decisions.

4. Account Connections & Data Access

When you connect financial accounts:

• You authorize Hutsy to access financial data via third-party providers (e.g., Plaid, Array, and similar providers).
• You confirm you have legal authority to connect those accounts and share the data you provide.

Hutsy does not store your banking login credentials. Credentials (if any) are handled by the third-party provider. You may disconnect accounts at any time.

5. Privacy, Data Processing & AI

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information. By using the Services, you consent to our data practices as described in the Privacy Policy.

Hutsy may use third-party service providers (including AI providers) to process information and generate insights. Where feasible, we may minimize, mask, summarize, or otherwise reduce the information sent to such providers; however, the specific data processed may vary depending on the feature you use, your connected accounts, and the data available.

You understand that AI outputs are generated automatically and may not be accurate, complete, or suitable for your situation.

6. Lending Marketplace

Hutsy may present loan or credit offers from third-party lending partners.

Important:

• Hutsy does not originate loans.
• Hutsy does not guarantee loan approval.
• Lending terms are determined solely by the third-party lender.
• Hutsy may receive compensation from lending partners.

You are responsible for reviewing all loan terms before accepting any offer. Any agreement you enter into with a lender is solely between you and that lender.

7. Subscriptions, Payments & Billing (If Applicable)

Certain features may require a paid subscription or one-time purchase. Pricing and renewal terms will be disclosed in the app before you purchase. If subscriptions are offered through Apple App Store or Google Play, billing and cancellations are managed by those platforms and are subject to their terms.

Unless required by law, payments are non-refundable once processed. If you believe a billing error occurred, contact us using the details in Section 17.

8. User Responsibilities

You agree not to:

• Use the Services for unlawful purposes
• Attempt to reverse engineer, decompile, or exploit the Services
• Interfere with system security, stability, or performance
• Provide false, misleading, or unauthorized information

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

9. AI Limitations

Hutsy uses artificial intelligence to analyze financial data.

AI-generated outputs:

• May contain errors
• May rely on incomplete or inaccurate data
• Are probabilistic and not guaranteed
• May not reflect real-time changes

You acknowledge and accept these limitations.

10. Third-Party Services & Links

The Services may integrate with or link to third-party products, services, websites, or content (including account aggregation providers and lenders). Third-party services are not controlled by Hutsy and may have their own terms and privacy practices.

Hutsy is not responsible for third-party services, and your use of them is at your own risk.

11. Intellectual Property

All content, software, algorithms, branding, and materials within the Services are the property of Hutsy or its licensors and are protected by applicable laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or exploit the Services without written permission.

12. Availability, Changes & Updates

We may modify, suspend, or discontinue any part of the Services at any time, including adding or removing features. We may also issue updates to improve performance, security, or compliance.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any outputs will be accurate or complete.

14. Limitation of Liability

To the maximum extent permitted by law:

Hutsy shall not be liable for:

• Financial losses or lost profits
• Credit score changes
• Loan denials or offer changes
• Missed payments or fees
• System interruptions or data delays
• Indirect, incidental, special, or consequential damages

To the extent liability cannot be excluded, Hutsy’s total liability for any claim will be limited to the amount you paid to Hutsy for the Services in the twelve (12) months preceding the event giving rise to the claim (or, if no fees were paid, a nominal amount as permitted by law).

15. Indemnification

You agree to indemnify and hold harmless Hutsy and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Services
• Your financial decisions
• Your violation of these Terms
• Your violation of any third-party rights

16. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or suspicious activity
• Misuse or attempt to harm the Services

You may terminate your account at any time. Certain sections of these Terms will survive termination, including Sections related to liability, disclaimers, indemnity, and disputes.

17. Electronic Communications

By using the Services, you consent to receive communications from us electronically (e.g., in-app messages, email, push notifications). You can adjust certain notification preferences in your device or app settings, but some communications may be required for service and security purposes.

18. Governing Law & Disputes

These Terms are governed by the laws applicable to Hutsy Financial Corp.’s place of incorporation/operation, without regard to conflict-of-law principles. Unless prohibited by law, you agree that disputes will be resolved in the courts located in that jurisdiction, and you consent to personal jurisdiction and venue there.

19. Force Majeure

Hutsy will not be liable for any failure or delay in performance due to events beyond our reasonable control, including network outages, system failures, acts of government, or natural disasters.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, via the app or by email). Continued use of the Services after changes become effective means you accept the updated Terms.
