These Terms of Service (“Terms”) govern your access to and use of the Hutsy mobile application, website, and related services (collectively, the “Services”) provided by Hutsy Financial Corp. (“Hutsy,” “we,” “us,” or “our”).

By creating an account, connecting financial accounts, subscribing, purchasing access to paid features, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use Hutsy. By using the Services, you represent and warrant that you meet these requirements.

2. Nature of the Service

Hutsy is an AI-powered financial insights and monitoring platform.

Hutsy may:

• Analyze user-provided and connected financial data
• Generate alerts, summaries, projections, and informational insights
• Provide decision-support tools and monitoring features
• Facilitate access to third-party financial products or offers where available

Hutsy is not:

• A bank
• A lender
• A broker-dealer
• A credit repair organization
• A financial advisor
• A fiduciary
• A law firm or tax advisor

The Services and all outputs are provided for informational and educational purposes only. You remain solely responsible for your financial decisions and actions.

3. No Financial, Legal, or Tax Advice

Hutsy does not provide investment, legal, tax, accounting, credit repair, lending, underwriting, or financial planning advice. Any alerts, insights, calculations, recommendations, projections, or estimates are based on available data and automated models.

We do not guarantee:

• Credit score increases
• Loan approval or loan terms
• Fee avoidance
• Overdraft prevention
• Accuracy or completeness of third-party data
• Any financial outcome

You should consult qualified professionals before making financial, tax, legal, or credit-related decisions.

4. Account Registration & Security

You are responsible for providing accurate information and keeping your account credentials secure. You are responsible for all activity that occurs under your account.

You must notify us promptly if you believe your account has been accessed without authorization or if your credentials may have been compromised.

5. Account Connections & Data Access

When you connect financial accounts:

• You authorize Hutsy to access and use financial data via third-party providers such as Plaid, Array, and similar providers.
• You confirm you have the legal authority to connect those accounts and authorize access to the related data.
• You understand that data made available through third-party integrations may be delayed, incomplete, unavailable, or inaccurate.

Hutsy does not store your online banking login credentials. Credentials are handled by the applicable third-party connection provider. You may disconnect accounts at any time, though doing so may limit or disable some features.

6. Privacy, Data Processing & AI

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information. By using the Services, you consent to our data practices as described in the Privacy Policy.

Hutsy may use third-party service providers, including AI providers, hosting providers, analytics providers, and financial data providers, to operate the Services and generate insights. Depending on the feature used, we may process account summaries, balance snapshots, transaction summaries, credit metrics, and user-submitted prompts or messages.

Where feasible, we may minimize, mask, summarize, tokenize, or otherwise reduce the information sent to third parties. However, the specific data processed may vary depending on the feature used, your connected accounts, and the data available.

You understand and agree that AI outputs are generated automatically, may not always be accurate or complete, and may not be suitable for your circumstances.

7. Paid Features, Subscriptions, Billing & Renewal

Certain features of Hutsy may require a paid subscription or one-time purchase. Subscription title, subscription length, pricing, and renewal terms will be displayed in the app before purchase.

If you purchase an auto-renewable subscription through Apple App Store or Google Play, your subscription will automatically renew unless you cancel at least 24 hours before the end of the current billing period, or as otherwise stated by the applicable platform.

Your account will be charged for renewal within 24 hours prior to the end of the current period, subject to the terms of Apple App Store or Google Play. You can manage or cancel your subscription through your Apple ID account settings or Google Play account settings after purchase.

Subscription billing, payment processing, renewals, cancellations, and refunds for in-app purchases are handled by the platform through which you purchased the subscription and are subject to that platform’s terms and policies.

Except where required by applicable law or the platform provider’s rules, payments are non-refundable once processed. If you believe a billing error occurred, please contact us and, where applicable, the platform through which you purchased the subscription.

8. Free Trials & Promotional Offers

We may offer free trials, promotional pricing, discounts, or limited-time offers from time to time. Eligibility, duration, renewal behavior, and limitations of any offer will be disclosed at the time of the offer.

Unless otherwise disclosed, once a trial or promotional period ends, the applicable paid subscription terms will begin and normal recurring charges may apply unless cancelled in accordance with the relevant platform’s billing rules.

9. User Responsibilities

You agree not to:

• Use the Services for unlawful, fraudulent, misleading, or abusive purposes
• Attempt to reverse engineer, decompile, scrape, copy, or exploit the Services
• Interfere with system security, stability, or performance
• Use the Services to test, probe, or bypass security protections
• Provide false, misleading, inaccurate, or unauthorized information
• Use another person’s information or connected accounts without authorization

10. AI Limitations

Hutsy uses artificial intelligence and automated systems to analyze financial information.

AI-generated outputs:

• May contain errors or omissions
• May rely on incomplete, delayed, or inaccurate data
• Are probabilistic and not guaranteed
• May not reflect real-time changes or platform outages
• Should not be treated as professional advice

You acknowledge and accept these limitations.

11. Third-Party Services & Links

The Services may integrate with or link to third-party products, services, websites, or content, including financial connection providers, payment processors, and app store billing systems. These third-party services are not controlled by Hutsy and may have their own terms, disclosures, and privacy practices.

Hutsy is not responsible for third-party services or content, and your use of them is at your own risk.

12. Intellectual Property

All software, designs, branding, algorithms, text, graphics, interfaces, and content within the Services are owned by Hutsy or its licensors and are protected by applicable intellectual property laws.

Except as expressly allowed by us in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or otherwise exploit the Services.

13. Availability, Changes & Updates

We may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice, including features, integrations, pricing, functionality, or availability.

We may also issue updates to improve performance, security, reliability, or compliance. Continued use of the Services may require installation of updates.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

We do not warrant that the Services will be uninterrupted, secure, timely, error-free, or that any outputs, alerts, calculations, summaries, or insights will be accurate, complete, or suitable for your situation.

15. Limitation of Liability

To the maximum extent permitted by law, Hutsy shall not be liable for:

• Financial losses or lost profits
• Credit score changes
• Loan denials, rate changes, or offer changes
• Missed payments, overdrafts, late fees, or interest charges
• System interruptions, delays, or service outages
• Third-party data errors or provider downtime
• Indirect, incidental, special, consequential, or punitive damages

To the extent liability cannot be excluded, Hutsy’s total liability for any claim relating to the Services will be limited to the total amount you paid to Hutsy for the Services during the twelve (12) months preceding the event giving rise to the claim, or if you paid nothing, the minimum amount permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Hutsy and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Services
• Your financial decisions or actions
• Your violation of these Terms
• Your misuse of connected accounts or third-party services
• Your violation of any law or third-party rights

17. Termination

We may suspend, limit, or terminate your account or access to the Services if you:

• Violate these Terms
• Engage in fraudulent, abusive, or suspicious activity
• Misuse or attempt to harm the Services or third-party providers
• Create legal, operational, or security risk for Hutsy or other users

You may stop using the Services or request account deletion at any time. Termination will not affect rights and obligations that accrued before termination. Sections relating to disclaimers, limitations of liability, indemnification, intellectual property, disputes, and payment obligations will survive termination.

18. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including emails, push notifications, in-app messages, and notices posted through the Services. You may manage certain notification preferences in your device or app settings, but some communications are necessary for service operation, billing, compliance, and security.

19. Governing Law & Disputes

These Terms are governed by the laws applicable to Hutsy Financial Corp.’s place of incorporation and operation, without regard to conflict-of-law principles. Unless otherwise required by applicable law, disputes arising from or relating to these Terms or the Services will be brought in the courts located in that jurisdiction, and you consent to personal jurisdiction and venue there.

20. Force Majeure

Hutsy will not be liable for any delay or failure in performance caused by events beyond our reasonable control, including outages, internet or telecommunications failures, acts of government, labor disputes, cyberattacks, provider failures, or natural disasters.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the app, website, email, or other reasonable means. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

22. Apple App Store & Google Play Additional Terms

If you download or use the app through Apple App Store or Google Play, you acknowledge that Apple and Google are not responsible for the Services, their content, maintenance, support, warranty claims, product claims, or legal compliance, except as required by their respective platform terms.

Your use of the app is also subject to the applicable platform usage rules and billing terms.
